What is the investment being offered?
The Vanilla Project has been established to provide investors the opportunity to carry on the business of commercially growing vanilla gardens in Fiji.
Each Grower enters into a Management Agreement under which they contract with the Vanilla Manager to establish a vanilla plantation and carry on the future management and maintenance of their plantation until the end of the fruiting period up to 8 to 10 years.
It is expected to produce vanilla beans to be sold for use in ‘Big Food’, ‘Nestle’, ‘Unilever’, ‘Danone’, ‘Mars’, ‘Hershey’ and ‘McCormick’. There are some 1800 uses for vanilla according to Symrise.
The unit of investment of the Vanilla Project is a vanilla garden, which is managed by a Vanilla Manager. Investors will be granted a ‘Vanilla Investor Certificate’. A vanilla garden comprises an area of at least 18 vines and costs US$ 1,300.
Whilst all investors will be granted a vanilla garden, the Vanilla Project will be established and maintained by the Vanilla Manager on a collective basis. After establishment of growth the beans will be harvested annually and sold on a pooled basis and Net Proceeds of Sale distributed to investors.
